Confidentiality and Non-disclosure Agreements
All conversations with The Fisher Company and its team are held in confidence. As we move deeper into discussions about your company, especially regarding financials disclosed or inquiry of another company, we will formalize that understanding and ask you to complete a non-disclosure agreement (NDA) for our files. An NDA is a legal agreement between parties which ensures that confidential information and knowledge is not disclosed to an outside party. NDAs ensure the privacy and confidentiality of all current and potential clients.
Sectors Represented
The Fisher Company currently operates in a variety of sectors among the publishing, media, and technology industries. We have direct experience with book and magazine publishing, websites, and a variety of software. See our “News” page for a list of transactions announced to the public.
International Operations
Our staff and clients are international by nature. The home office is based in Tucson, Arizona, and we have team members in London, New Delhi, and across North America. Recent clients represent countries from around the globe, including the United States, United Kingdom, France, Sweden, South Africa, Australia, New Zealand, Canada, and Mexico.
Book Fairs and Industry Events
Because of current safety concerns, travel restrictions, and health guidelines due to COVID-19, The Fisher Company will attend book fairs and industry events as able for the near future. More details will be available as fairs are scheduled.

Initial Consultation and Fee Structure
We offer a free initial consultation with one or more of our staff to better understand your situation, needs, and whether we are the right match for your organization. If you choose to engage us, retainers and transaction fees are tailored appropriately to each company and situation.
Selling or Buying
We represent companies on either a sell- or buy-side engagement depending on the growth and development goals of an organization. When representing a seller, we work with the client to gather relevant financial and product information, create a summary for prospective buyers, bring the company to market, and follow through to the end of a sale. Similarly, if working for a company pursuing acquisitions, we assist in contacting potential targets through to finalizing a purchase.
The Offering
We meticulously structure your offering with financials and a narrative to help qualified buyers understand your unique business, the justifications for the purchase price, and its potential and future value. We discreetly approach pre-approved buyers and investors with a summary information sheet; then, with NDAs in place, we invite interested prospects into a virtual data room created specifically for your company.
Asset and Limited Asset Purchases
Most publishing and media transactions are accomplished through an Asset Purchase Agreement (APA), rather than a stock sale. This form of transaction generally offers significant tax advantages to the buyer, and in most cases the valuation is higher for the seller. Specific, limited asset sales, such as an imprint, may also be transacted with an APA.
Stock Purchase
Many of our transactions are transnational; depending on each country’s tax laws, there are many considerations to evaluate for the buyer and seller. We work with your financial advisors to best shape the transaction as a stock purchase.
Consulting
The Fisher Company provides consulting on matters relating to the publishing industry, including but not limited to review of financials, distribution agreements and negotiation, and workflow overviews.
Company Valuation
Formal calculations of value may be included as part of our engagement on the sell or buy side, or as an independent valuation. If your organization desires a better understanding of its current and potential future value within the industry, The Fisher Company can work with you to provide this information.
